This Agreement is between FoundCore Era Technologies Private Limited, operating under the brand name Distributors Link India (“DLI”, “Company”, “we”, “us” or “our”), and any person or entity accessing, registering on, subscribing to or using the website or Services (“User”, “you” or “your”).
By accessing the website, creating an account, purchasing a subscription, submitting a business listing or using any of the Services, you acknowledge that you have read, understood and agreed to these Terms & Conditions and the applicable service-specific terms.
Trademark “Distributors Link India” and its related icons, logos, brand names, and marks are trademarks or service marks of Distributors Link India (DLI) and are protected under applicable trademark, copyright, and other intellectual property laws. Any unauthorized adoption, copying, modification, use, or publication of these marks is strictly prohibited.
Copyright
All website content, including website information, text, images, graphics, videos, directories, files, databases, listings, and other materials available on or through the website (“DLI Content”), is owned by or licensed to Distributors Link India (DLI), except for third-party content and links to third-party websites. Users may not use any trademark, service mark, or logo belonging to an independent third party without obtaining prior written permission from the relevant owner. Users acknowledge and agree that DLI does not act as an arbiter or judge in disputes concerning intellectual property rights and cannot independently verify whether users listing or offering products or services on the website have the legal right to sell such products or provide such services. DLI encourages users to report listings that they reasonably believe infringe their intellectual property rights. The removal of a listing by DLI shall not be interpreted as an admission or confirmation that infringement has occurred. Similarly, a decision not to remove a listing shall not be interpreted as confirmation that the listing is lawful or that the products or services offered through it are endorsed by DLI.
DLI respects the intellectual property rights of others and expects its users to do the same. Users agree not to copy, download, reproduce, republish, sell, redistribute, or commercially exploit DLI Content for purposes such as mass mailing, operating a competing business, or creating commercial databases or directories, unless expressly authorized in writing by DLI. Systematic retrieval of DLI Content, whether through robots, spiders, automated tools, or manual processes, for the purpose of creating or compiling collections, databases, or directories without prior written permission from DLI is prohibited.
Any use of DLI Content for a purpose not expressly permitted under these Terms and Conditions is prohibited and may result in suspension or termination of access to the website and/or appropriate legal action, subject to applicable law. As a condition of accessing and using DLI’s services, users agree not to use the website or its services to infringe the intellectual property rights of any third party. DLI reserves the right to suspend or terminate a user’s access to its services if the user infringes third-party rights, engages in conduct prejudicial to the interests of DLI, its affiliates, or other users, or otherwise violates these Terms and Conditions, subject to applicable law.
URLs / Subdomains
Any URL or subdomain assigned or provided by DLI to users, whether paid or free, shall remain subject to DLI’s ownership or control, as applicable, and shall not be considered permanently assigned or guaranteed for any particular duration unless expressly agreed in writing.
DLI reserves the right to suspend, terminate, restrict access to, or modify any such URL or subdomain where reasonably necessary, subject to applicable law and any contractual commitments made to the user. To the extent permitted by applicable law, DLI shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits or business interruption, arising from such suspension, termination, restriction, or modification.
If you do not agree to these terms, you must discontinue using the website and Services.
I. THE WEBSITE — A BUSINESS DISCOVERY AND MATCHMAKING PLATFORM
- Distributors Link India is an online business discovery platform intended to help manufacturers, brands, suppliers, distributors, dealers, wholesalers, franchise providers and prospective business partners discover and connect with one another.
- DLI provides a digital platform for publishing business listings, presenting distribution and franchise opportunities, facilitating business enquiries and supporting communication between interested parties.
- DLI acts as an intermediary and business facilitation platform. Unless expressly agreed in writing for a specific service, DLI is not a party to any commercial transaction, distributorship agreement, franchise agreement, purchase order, supply contract or other arrangement entered into between Users.
- DLI does not own, manufacture, stock, sell, supply or distribute the products listed by Users merely by displaying them on the website.
- Users are solely responsible for independently evaluating prospective business partners, verifying their credentials and deciding whether to enter into any commercial relationship.
- DLI does not guarantee that any listing will result in a sale, appointment of a distributor, execution of a franchise agreement, minimum business volume, revenue, profit or successful commercial relationship.
II. SERVICES PROVIDED BY DLI
Depending on the applicable package, service availability and the description provided at the time of purchase, DLI may offer the following services:
A. Business Listings: Publication of business, product, brand, distributorship, dealership, wholesale or franchise opportunity information on the website.
B. Paid Subscription Packages: Access to subscription plans, which may include Basic, Silver, Gold, Pro and Premium packages, with different features, durations, listing visibility and service inclusions.
C. Business Enquiry Facilitation: Facilitation or sharing of relevant business enquiries received through the platform, subject to the selected package and applicable service terms.
D. Dealer and Distributor Connections: Assistance in connecting businesses with prospective distributors, dealers, wholesalers, retailers or other interested business parties.
E. Conference Call Facilitation: Where expressly included in the purchased package or separately agreed in writing, DLI may facilitate conference calls between a client and interested dealers or business prospects, subject to availability, mutual consent and scheduling.
F. Business Promotion: Display or promotion of business listings, products, brands and opportunities through available DLI channels, subject to the applicable package and promotional arrangements.
G. Additional Services: DLI may introduce other business discovery, marketing, technology or support services from time to time.
The precise scope, duration, pricing, inclusions and applicable conditions of each paid service shall be determined by the package description, invoice, proposal or other written confirmation applicable to the User.
III. USER ELIGIBILITY
- The Services are intended primarily for legitimate commercial and business purposes.
- Users must be at least 18 years of age and legally capable of entering into binding agreements under applicable law.
- A person registering on behalf of a company, partnership, proprietorship or other organisation represents that they are authorised to act for and bind that organisation.
- Users must comply with all applicable Indian laws and regulations relevant to their activities, products, business listings and commercial transactions.
- DLI may refuse registration, restrict access or suspend an account where it reasonably believes that a User has provided false information, engaged in unlawful activity or violated this Agreement.
IV. USER REGISTRATION AND ACCOUNT RESPONSIBILITIES
- Users may be required to provide information such as their name, business name, contact details, business address, product information and other details necessary to access particular Services.
- Users represent and warrant that all information provided during registration, subscription or listing submission is true, accurate, current and complete.
- Users must promptly update information that becomes inaccurate, incomplete or outdated.
- Users are responsible for maintaining the confidentiality of their login credentials and for activities conducted through their accounts, subject to applicable law.
- Users must promptly notify DLI if they suspect unauthorised access to their accounts.
- DLI may request supporting documents or additional information to verify a User's identity, business existence or listing details. Submission of documents does not necessarily constitute a guarantee or certification of the User's overall credibility.
- Users must not impersonate another person or business, create accounts for fraudulent purposes or misrepresent their authority to offer products or business opportunities.
V. SUBSCRIPTION PACKAGES, FEES AND PAYMENTS
- DLI may offer free and paid services. Paid services may be available through subscription packages or separately agreed commercial arrangements.
- The package price, applicable taxes, subscription period, payment schedule and service inclusions shall be communicated to the User before or at the time of purchase.
- Users agree to pay the applicable fees in accordance with the invoice, accepted proposal or other written commercial terms.
- Services may commence after the applicable payment is received and any required onboarding information has been provided, unless otherwise agreed in writing.
- Users are responsible for providing accurate billing information and applicable tax details.
- Applicable taxes, including GST where chargeable, shall be levied in accordance with applicable law and the invoice.
- Unless expressly stated otherwise in writing, a subscription applies only to the specific business, listing, account, duration and services identified in the purchase documentation.
- Users may not transfer, resell or assign a subscription or service entitlement to another person or entity without DLI's prior written consent.
- Any renewal, upgrade, downgrade or extension shall be subject to the applicable commercial terms communicated by DLI.
VI. CANCELLATION, REFUNDS AND SERVICE DISCONTINUATION
- Users should review the selected package, service scope, duration and applicable commercial terms before making payment.
- Refund eligibility shall be determined by the written refund terms applicable to the purchased service, the stage of service delivery, any expressly agreed cancellation conditions and applicable law. Unless otherwise required by applicable law or expressly agreed in writing, fees for services already delivered, promotional activities already undertaken or subscription benefits already consumed may not be refundable.
- The Company reserves the right to accept or reject any refund request at its sole discretion, subject to applicable laws and the terms of the relevant invoice. All refund and cancellation requests must be submitted in writing through the Company's official communication channels.
- In the event that the Company approves a refund following a cancellation request by the Advertiser or Customer, 35% of the total amount paid shall be deducted as a cancellation charge, subject to applicable law.
- In addition to the cancellation charge, a pro-rata deduction shall be made for the service already consumed, calculated based on the actual live duration of the advertisement or listing in proportion to the total period booked. The final refund amount shall be calculated after deducting both the cancellation charge and the applicable service usage amount from the total payment received.
VII. BUSINESS ENQUIRIES, LEADS AND CONFERENCE CALLS
- DLI may facilitate the exchange of business enquiries between Users based on information submitted through the platform or otherwise lawfully obtained for the relevant service.
- Enquiries may vary in relevance, completeness, accuracy, responsiveness and commercial suitability. DLI does not guarantee that every enquiry will result in a meeting, appointment, order or sale.
- Unless a specific written commitment forms part of the purchased package, DLI does not guarantee a minimum number of enquiries, qualified leads, interested dealers, distributor appointments or commercial transactions.
- Where a package expressly includes a conference call with an interested dealer, DLI will use reasonable efforts to coordinate the call in accordance with the agreed scope and subject to the dealer's genuine interest, availability, consent and scheduling.
- A conference-call commitment, where expressly included in a package, means facilitation of the agreed communication milestone. It does not guarantee that the dealer will sign an agreement, place an order, make a payment or proceed with a commercial relationship.
- Users must respond to enquiries promptly, provide accurate information and behave professionally when communicating with prospective business partners.
- Users must not falsely claim that a prospective dealer has committed to a purchase, distributorship, franchise or other commercial arrangement when no such commitment has been made.
- DLI may use reasonable operational processes to assess, route, manage or follow up on enquiries. However, unless expressly agreed in writing, DLI does not guarantee exclusivity of enquiries or that an enquiry has not been received by another business.
- Users are responsible for independently confirming a prospect's requirements, authority, financial capacity and suitability before entering into a transaction.
VIII. USER CONTENT, LISTINGS AND INTELLECTUAL PROPERTY
- Users retain ownership of their pre-existing trademarks, logos, photographs, product materials and other intellectual property, subject to the rights of their respective owners.
- By submitting content to DLI, Users grant DLI a non-exclusive, worldwide, royalty-free licence, for the duration and purposes reasonably necessary to provide the Services, to host, reproduce, display, format, distribute and promote that content through the website and agreed promotional channels.
- This licence includes the right to make technical adjustments to submitted material for display, compatibility, layout and promotional presentation. DLI shall not acquire ownership of the User's underlying intellectual property merely because it is submitted or displayed.
- Users represent that they own or have obtained the necessary permissions and legal rights to submit and authorise the use of all content, photographs, logos, trademarks, product descriptions and other materials provided to DLI.
- Users must not submit content that infringes another person's copyright, trademark, patent, privacy rights or other legal rights.
- Users are responsible for ensuring that the products, services and business opportunities described in their listings are genuine, lawful and accurately represented.
- DLI may remove, restrict or decline to publish material that reasonably appears unlawful, misleading, infringing, unsafe or inconsistent with this Agreement.
- The website's design, software, original text, layout, branding and other DLI-owned materials remain the property of DLI or its licensors. Users may not copy, scrape, reproduce, commercially exploit or redistribute such materials without prior written permission.
IX. PROHIBITED ACTIVITIES AND CONTENT
Users must not use DLI's Services to:
- Publish false, misleading, deceptive or fraudulent business information. Advertise counterfeit, stolen, prohibited or unlawfully marketed goods or services. Impersonate another person, brand, company or organisation.
- Harass, threaten, defame, discriminate against or unlawfully collect information about another person. Upload malware, malicious code or content designed to compromise the website or its users. Attempt unauthorised access to DLI systems, accounts, databases or infrastructure.
- Publish prohibited products or offers contrary to applicable laws, regulatory requirements or DLI's published policies. Engage in any activity that could expose DLI or other Users to legal liability or material harm.
DLI may investigate suspected violations and take appropriate action, including removal of content, restriction of features, suspension of an account or termination of Services, subject to applicable law.
X. INTERACTIONS AND TRANSACTIONS BETWEEN USERS
- DLI facilitates discovery and communication between businesses but does not ordinarily act as an agent, broker, guarantor, seller, purchaser or contracting party in transactions between Users.
- Users are responsible for negotiating and documenting their own commercial terms, including prices, payment schedules, commissions, delivery, warranties, returns, taxes, transportation and contractual obligations.
- Before entering into a transaction, Users should independently verify the identity, business credentials, licences, financial standing and authority of the other party as appropriate.
- DLI does not guarantee the quality, safety, legality, availability or suitability of products, nor the accuracy of every representation made by another User.
- DLI does not guarantee that a supplier will deliver goods, that a buyer will pay, or that a proposed distributor or franchisee will fulfil its obligations.
- Users assume responsibility for decisions made on the basis of information exchanged through the platform, subject to rights and remedies available under applicable law.
- Users should retain relevant invoices, written agreements, payment records and communications relating to their transactions.
- Where a dispute arises between Users, they are encouraged to attempt an amicable resolution. DLI may, at its discretion, assist with communication but is not obliged to adjudicate private commercial disputes.
XI. PRIVACY AND DATA PROTECTION
- DLI may collect and process personal and business information reasonably necessary to register Users, publish listings, deliver Services, facilitate enquiries, process payments, prevent fraud and meet legal obligations.
- Information shall be handled in accordance with DLI's Privacy Policy and applicable data protection laws.
- Where a User submits contact information or business details for publication or enquiry facilitation, the User confirms that they have the necessary authority and permissions to provide that information for the stated purpose.
- Users must not misuse another User's contact details or use information obtained through DLI for unlawful solicitation, harassment, spam or unrelated purposes that violate applicable law.
- DLI may share relevant information with prospective business contacts, service providers or other recipients where reasonably necessary to deliver the requested Services, where authorised by the User or where otherwise permitted or required by law.
- Users should review the Privacy Policy for further details about data collection, processing, retention, sharing and available privacy rights.
- DLI will take reasonable measures to protect information under its control but cannot guarantee that electronic systems or internet communications will be entirely free from security risks.
XII. THIRD-PARTY WEBSITES AND SERVICES
- The DLI website may contain links to external websites, applications, payment services or third-party resources.
- Such links are provided for convenience or to facilitate a service. Unless expressly stated otherwise, DLI does not own or control those third-party services.
- Users should review the relevant third-party terms and privacy policies before using those services.
- DLI is not responsible for third-party content or services to the extent permitted by applicable law, without prejudice to any responsibility that cannot legally be excluded.
XIII. DISCLAIMERS AND LIMITATION OF LIABILITY
- The website and Services are provided on an “as available” basis, subject to the applicable package terms, service descriptions and legal obligations.
- DLI does not warrant uninterrupted availability, error-free operation, universal compatibility or the continuous availability of every website feature.
- DLI does not warrant that every business listing is independently verified in every respect or that all information submitted by Users is accurate, complete or current.
- DLI does not guarantee any specific commercial result, including sales, profits, business growth, orders, distributor appointments, franchise signings or return on investment.
- DLI shall not be responsible for the independent acts, omissions, misrepresentations, non-performance or misconduct of Users, except to the extent responsibility arises under applicable law.
- To the maximum extent permitted by applicable law, DLI shall not be liable for indirect, incidental, special or consequential losses arising from the use of the platform, including loss of anticipated profits, business opportunities or goodwill.
- Nothing in these Terms & Conditions excludes or restricts liability for fraud, wilful misconduct, gross negligence where legally applicable, or any other liability that cannot lawfully be excluded or restricted.
- Nothing in these terms limits any mandatory statutory right or remedy available to a User under applicable Indian law.
XIV. INDEMNIFICATION
To the extent permitted by applicable law, Users agree to indemnify and hold harmless DLI, its directors, officers, employees and authorised representatives against third-party claims, losses, damages, liabilities and reasonable legal expenses arising directly from:
- The User's material breach of this Agreement.
- False, misleading or unlawful information submitted by the User.
- The User's infringement of another person's intellectual property or other legal rights.
- The User's unlawful products, business offers or commercial activities.
- The User's misuse of the Services or violation of applicable law.
This provision shall not apply to the extent that a claim or loss results from DLI's own conduct for which liability cannot lawfully be excluded or transferred.

- Users may submit service complaints, billing disputes, content-related concerns or other grievances through DLI's officially designated customer support or grievance channel.
- Complaints should include the User's name, registered contact details, relevant invoice or account reference, a description of the issue and any supporting documents.
